"Enterprise Application Frameworx" hence referred to as "Eafx", has laid forth the below terms and conditions that individuals and organizations alike, MUST read, understand and agree to when Using Eafx. The term 'Using Eafx' is defined by ALL of the following actions:

• Use of this website, or any website developed and owned by Eafx
• Use of the services provided by Eafx
• Entering into business with Eafx
• Signing up for membership on the Eafx Web Site
• Downloading and using any product that is developed by Eafx

All clients are required to read, understand and to agree to the terms and conditions put forth on this page before Using Eafx. Any individual or organization who enters into an agreement with Eafx and begins Using Eafx will be denoted as Client or User in the remainder of this document.

Copyright Notice

Eafx employs dynamic and static content and artifacts, i.e. web sites, applications, databases, logos, images, drawings, designs, icons, photographs, video and audio clips, documents, in addition to trademarks, service marks and other intellectual property owned, developed, created, controlled or licensed by Eafx that distinguish Eafx and its services from other services and organizations. Usage of this Content, which will henceforth be denoted as "Products" is not permitted unless explicitly stated otherwise.

These Products, which is the exclusive property of Eafx, and the Eafx Website itself, which is a work product of Eafx, are protected by United States and foreign copyright laws, treaties and conventions and will be strictly enforced by Eafx.

Unless explicitly stated otherwise, Products are not permitted to be reproduced, engineered, reverse-engineered or reengineered in any format for public or commercial use. A limited license is granted to any end user for non-commercial and non-public purposes to reproduce materials to support Eafx, but no right, title or interest in any downloaded material is transferred as a result of any such downloading or copying.

End User Acceptance and Usage Policy

User Acknowledgment, Understanding and Acceptance of the Terms of Service

All services provided by Eafx are provided to you (the "User" or the "End User" or the "Client") under the Terms and Conditions set forth in this End User Acceptance and Usage Policy(EUAUP) and any other operating rules and policies set forth by Eafx. The EUAUP comprises the entire agreement between the Client and Eafx and supercedes all prior agreements between the parties regarding the subject matter contained herein. By Registering or entering into an Agreement with Eafx, you are agreeing to have read, understood and accept all the terms and conditions set forth by this EUAUP.

Description of Services and Products Provided

Eafx provides clients with Business Process, or Software / Hardware Infrastructure related consulting, development and optimization products and services. The Client must (A) provide all means necessary for their own Business, Application, Systems and Internet Software / Hardware infrastructure, and (B) provide for the Client's own access to the infrastructure aforementioned and pay any fees related to the maintenance of such infrastructure, including the software and hardware artifacts that Eafx has worked on or provided.

Eafx will create a Portal for the Client for (A) Managing the relationship and projects between Eafx and the Client, or (B) for the client to maintain  their own content in accordance with the following EUAUP. Any and all rights including, without limitation, Intellectual Property Rights, not expressly granted by the terms of the License Agreement and this Agreement to the client are reserved by and to Eafx.  For avoidance of doubt, notwithstanding any other provision of the License Agreement and this Addendum, all rights to Eafx and the Eafx Portal FrameworX function, including, but not limited to, Intellectual Property Rights, are and shall remain the sole and exclusive property of Eafx.

The User agrees to provide and maintain certain current, complete, and accurate information about the User as prompted to do so by the Service. All the information requested during User Registration shall be referred to as registration data. Furthermore, the User grants Eafx the right to disclose certain Registration Data about the User and Service information where and when required to do so by any applicable law or legal process. If any information provided by the User is inaccurate, Eafx reserves the right to terminate the User's membership and right to use the Service, with or without notification to the User.

Changes to this policy

Eafx reserves the right to change the terms and conditions of this EUAUP as necessary. Please note that the User's use of the Service constitutes an acknowledgement by the User to follow and be bound by all alterations to the EUAUP and any other alterations to services.

Alterations to Services and Products Provided

Eafx reserves the right to alter, discontinue or enhance Services with or without notice to the User. Eafx shall not be liable to the Member or any third party should Eafx alter, discontinue or enhance the Services provided.

User Privacy

It is the policy of Eafx to protect and respect the privacy and personal information of its Users, and therefore, Eafx will not share the contents of a User's private communications or data to third parties unless required to do so (A) by law or (B) by the User or (C)in order to conform to the law or (D) to defend and protect the rights or property of Eafx, its Users or anyone else. Eafx will not give out personal information of its Members to advertisers, business partners, sponsors, and other third parties in any form other than in the form of aggregated usage statistics.

All financial data that is collected from Users shall be stored in encrypted form, and will be made available for future transactions immediately upon request, and stored only for as long as required by applicable financial regulations.

While Eafx strives to protect the User's personal information and privacy, Eafx cannot guarantee the security of any information the User provides online and the Users are free to do so at their own risk. Eafx's policies do not extend to any phenomenon that occur due to the nature of operation of the Internet, and are therefore beyond Eafx's control, and should not be applied in any manner contrary to applicable law or government regulations.

User Account, Security and Password Restrictions

As a Client of Eafx, you shall receive your password a user id. The user assumes complete responsibility all activities which occur under their account. The User may change their password at any time by following the instructions on the web site. The User may also change the username of the account at any time by following the instructions on the web site. The User agrees to immediately notify Eafx of any suspicious or unauthorized activity noticed on the account.

Warranty

The Client agrees that the use of Eafx's Web Site and the Products and Services provided by Eafx are at the Client's Own Risk. These Products and Services are provided on an "AS IS" and "AS AVAILABLE" Basis. Eafx explicitly disclaims any warranties of any kind, either explicit or implicit, including but not limited to the Product or Service meeting the User's needs. Eafx declines any warranties of any kind stating that the Product or Service will be timely, secure or uninterrupted and Eafx makes no warranties to the results that may arise as a result of the Use of the Products or Services provided, or as a result of defects in any of its Products or Services. Any Service or Product obtained by the client is done solely at the client's own risk and discretion and the client  will be solely responsible for any damage or loss incurred as a result of such an action.

Limited Liability Warning

Eafx shall not be liable for any direct, indirect, incidental, special or consequential damages, resulting from the use or the inability to use any service or product developed by Eafx. Eafx assumes no responsibility for unauthorized access to or alteration of the member's data transfer, even if Eafx has been advised of the possibility of such damages.

Resale or Transfer of services by Clients

The Client reserves the right to use the Products or Services provided for his own interest in any form as long as he adheres to the EUAUP. The member may not transfer the rights to or sell the Products and Services provided by Eafx without Eafx's prior authorization.

Content and material located on hosts

Eafx assumes no responsibility for the content of any material located on the hosts provided through the Service. Eafx has no control over these websites or other material hosted on external hosts. Eafx provides a service that enables a user to deliver services using the Internet. Eafx is not therefore responsible for any services that users are offering or delivering using the internet. In the same manner that one cannot hold the 'Internet' responsible for the actions performed by individuals that use it, one cannot similarly hold Eafx responsible for the actions performed by the individuals that use the services provided by eafx.Any organization may contact Eafx and notify them of any abuse or illegal activity and Eafx promises to look into any such issue and take corrective action towards resolving the situation. Such corrective measures may also include terminating services provided to the user and disabing the user's account on our system. Eafx however, takes no responsibility for any content or material located on hosts of Users and any damage, infringement of rights or law that may occur as a result of such content. Eafx will attempt to provide all affected parties all the contact information it has collected to deal with such an issue.
